Penrose Conference Registration Terms & Conditions

These Terms and Conditions (the “Terms”) apply to you as a registrant (“you” or the “Registrant”) for the Penrose Conference (the “Conference”) being presented by Jones-Dilworth Ventures LLC (“we” or the “Host”).

By clicking “accept” and/or by registering for the Conference, you agree to be bound by these Terms, and the Host’s Privacy Policy, which is hereby incorporated into these Terms by reference.

Registration Policies

Registrations for the Conference are non-refundable (except as listed below) and may not be cancelled or transferred by you. We reserve the right to relocate, postpone, cancel and/or modify all or part of the Conference in our sole discretion. If we permanently cancel the Conference for reasons within our control, we shall issue you a refund of your ticket cost. However, if we cancel the Conference for reasons not within our reasonable control, no refund shall be issued. Examples of reasons not within our reasonable control include: war, insurrection, fire, flood, natural disaster, strike or other labor disturbance, epidemic, pandemic or other public health emergency, the act of any governmental body or following any guidance, recommendation or order of any governmental body, or any other cause or condition beyond our reasonable control. We may modify or make exceptions to these policies on a case-by-case basis in our sole discretion.

Payment Terms

You authorize us and our third parties to charge all sums for your registration fees for the Conference, including all applicable taxes, to the payment method you specify. We may use Stripe for the processing of payments. You agree to provide us with accurate and complete information about yourself as requested in your registration and authorize us to share with Stripe this information and other transaction information related to your use of the payment processing services provided by Stripe, and to be subject to Stripe’s terms, located here: https://stripe.com/privacy. If you do not agree to Stripe’s terms, please do not register for the Conference. You release and hold the Host harmless from any liability, costs, or damages resulting from the Stripe or other third-party payment processing services.

Warranty Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND HEREUNDER OR WITH RESPECT TO THE CONFERENCE AND WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, AND SAFETY, IN EACH CASE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE TO ANY REGISTRANT, OR ANY OTHER PERSON OR ENTITY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES, ARISING OUT OF ANY REGISTRANT’S PARTICIPATION IN THE CONFERENCE. UNDER NO CIRCUMSTANCES WILL THE HOST’S TOTAL LIABILITY TO YOU OF ALL KINDS ARISING OUT OF OR RELATED TO THESE TERMS OR THE CONFERENCE, REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, INDEMNITY OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID BY YOU FOR YOUR PARTICIPATION IN THE CONFERENCE.


EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS OF THESE TERMS BETWEEN THE PARTIES AND IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.

Indemnification

To the fullest extent permitted by law, you will defend and indemnify the Host and its officers, directors, employees, consultants, affiliates, subsidiaries and agents from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or connected with: (a) your participation in the Conference, (b) your violation of any portion of these Terms or any applicable law or regulation or (c) your negligence or willful misconduct.

Choice of Law and Venue

To the maximum extent permitted by law, these Terms, and all disputes or claims in connection with these Terms (whether arising in contract, tort or otherwise) are governed by the laws of the State of Texas and the United States of America, and the parties hereby consent to Travis County, Texas being the exclusive jurisdiction and venue of courts for all disputes or claims in connection with these Terms.

Miscellaneous

You agree that no joint venture, partnership, employment, or agency relationship exists between you and the Host as a result of these Terms or your participation in the Conference. Neither party will have the power to bind the other or incur obligations on the other’s behalf without the other’s prior written consent, other than as provided herein. These Terms, together with the our Privacy Policy, constitute the entire and fully integrated agreement between the parties regarding your participation in the Conference. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision of these Terms is unlawful, void or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
